Terms & Conditions Policy

Effective Date: February 20, 2026

1. Acceptance of Terms

By purchasing products from Pinnacle Distribution (“Company”), the retailer (“Retailer”) agrees to be bound by these Wholesale Terms & Conditions.

These Terms apply to all purchases of bulk THCA flower, bulk kratom, bulk nicotine, and related products.

Pinnacle Distribution reserves the right to update these Terms at any time.

2. Wholesale Eligibility

Retailer must:

• Be a legally registered business
• Provide valid resale documentation
• Comply with all applicable local, state, and federal laws
• Be approved by Pinnacle Distribution

The Company reserves the right to approve or deny wholesale access at its sole discretion.

3. Minimum Order Requirements

Minimum Order Quantities (MOQs) may apply to certain products, including bulk THCA flower, bulk kratom, and white label items.

MOQs are specified in:

• Current wholesale line sheet
• Product listings
• Invoice documentation

Pinnacle Distribution reserves the right to modify MOQs at any time without prior notice.

Orders failing to meet minimum thresholds may be declined or adjusted.

4. Pricing & Payment

All pricing is wholesale and confidential. Pricing is subject to change without notice.

Accepted payment methods include:

• ACH
• Wire transfer
• Approved credit card
• Net-30 (if approved)

5. Net-30 Credit Terms

Retailers approved for Net-30 credit must adhere to the following:

• Payment due within 30 calendar days of invoice date
• Late payments subject to 1.5% monthly service charge
• Accounts 15+ days past due may be suspended
• Accounts 30+ days past due may be referred to collections

Pinnacle Distribution reserves the right to revoke credit privileges at any time.

Retailer agrees to pay all collection costs, including reasonable attorney’s fees.

6. Order Processing & Turnaround Times

Standard processing times:

• 1–3 business days for in-stock inventory
• 3–5 business days for bulk or large-volume orders
• Custom or white label orders may require extended lead time

Processing time does not include shipping transit time.

Delays caused by carrier, weather, or force majeure events are not the responsibility of Pinnacle Distribution.

7. Shipping & Risk of Loss

Title and risk of loss transfer to Retailer upon delivery of goods to the shipping carrier.

Pinnacle Distribution is not liable for:

• Carrier delays
• Lost shipments
• Damage in transit

Retailer must file claims directly with carrier when applicable.

8. Returns & Claims

All sales are final unless otherwise specified in the Returns & Exchanges Policy.

Claims for damaged or incorrect products must be submitted within 48 hours of delivery.

Unauthorized returns will be refused.

9. Compliance Responsibility

Retailer is solely responsible for:

• Compliance with state and local laws
• Age verification requirements
• Proper labeling and resale
• Advertising compliance
• Understanding product legality within their jurisdiction

Pinnacle Distribution does not provide legal advice.

10. Minimum Advertised Price (MAP)

Retailers must comply with the Company’s published MAP Policy.

Violation may result in account suspension or termination.

MAP Policy is unilateral and subject to modification at any time.

11. Limitation of Liability

To the maximum extent permitted by law, Pinnacle Distribution shall not be liable for:

• Indirect damages
• Consequential damages
• Lost profits
• Business interruption

Company liability shall not exceed the total amount paid for the specific product giving rise to the claim.

12. Indemnification

Retailer agrees to indemnify and hold harmless Pinnacle Distribution from any claims, damages, liabilities, or expenses arising from:

• Improper resale
• Mislabeling
• Unlawful marketing
• Regulatory violations
• Product modification

13. Force Majeure

Pinnacle Distribution shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to:

• Natural disasters
• Supply chain disruptions
• Government actions
• Carrier interruptions

14. Governing Law

These Terms shall be governed by the laws of the State of Missouri.

Any disputes shall be resolved in the courts located within Jasper County, Missouri.

15. Account Termination

Pinnacle Distribution reserves the right to suspend or terminate wholesale accounts at its discretion for:

• Nonpayment
• MAP violations
• Fraud
• Regulatory concerns
• Breach of Terms
